Terms of service

Last updated January 2026. These terms apply to our website and our services.

About these terms

Solve8 IT Services (ABN 84 615 983 732), Brisbane QLD, Australia. By using our website or services you agree to these terms. If you do not agree, please do not use our services. They apply to all visitors, users and clients.

Services and statements of work

We provide AI strategy, custom AI development, process automation, system integration, data and Power BI reporting, custom software and managed AI services.

Every engagement is governed by a Statement of Work (SOW) or proposal setting out scope, deliverables, timeline, milestones, fees, payment terms and any specific conditions. If a signed SOW conflicts with these terms, the SOW prevails for that engagement.

Fees and payment

Fees are in Australian dollars and exclude GST unless stated. Payment terms are set in the SOW or invoice, typically 50% on signing and 50% on completion and delivery, or as agreed in writing. Late payments may incur interest at 2% per month on overdue amounts.

Intellectual property

Unless agreed otherwise in writing, custom code, configurations and deliverables created for your project, including integrations, automation workflows, dashboards, reports and implementation documentation, become your property on final payment.

We keep ownership of our pre-existing frameworks, templates, tools, methods, reusable code libraries and training materials. You receive a perpetual, non-exclusive licence to use any of these included in your deliverables.

You keep ownership of your pre-existing IP, data and confidential information, and grant us a limited licence to use them only to deliver the agreed services.

Confidentiality

We treat client information as confidential and will not disclose it without your consent, except to our staff and contractors who need it to deliver the services, or where the law requires.

We may describe the general nature of work, for example AI automation for a construction company, without naming you, unless you give written consent to a case study.

Warranties and disclaimers

We warrant that services will be performed with reasonable care and skill, by people with the necessary expertise, and that deliverables will substantially conform to the SOW.

To the extent permitted by law, we do not guarantee software will be error-free or uninterrupted. AI outcomes depend on data quality and cannot be guaranteed. Third-party systems are subject to their providers' terms and availability. ROI projections and savings are estimates.

Liability and indemnity

To the extent permitted by the Australian Consumer Law, our total liability for any claim is limited to the fees paid for the engagement giving rise to it. We are not liable for indirect or consequential loss, or loss of profits, data, business or goodwill.

Nothing in these terms excludes liability for fraud, negligence causing death or personal injury, or any liability that cannot be excluded under Australian law.

You agree to indemnify Solve8 against claims, damages or expenses arising from use of our deliverables in a way the SOW did not contemplate, your breach of these terms, or third-party claims about your data or content.

Termination

Either party may end an engagement by mutual written agreement, if the other party materially breaches these terms and does not remedy it within 14 days of written notice, or as set out in the SOW. On termination you pay for work completed to date, and we deliver completed work and help with a reasonable transition.

Website use

You agree not to use our website unlawfully, attempt unauthorised access to our systems, transmit viruses or malicious code, scrape or harvest data without permission, or infringe intellectual property rights.

Australian Consumer Law

Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For a major failure with the service, you can cancel the contract and receive a refund for the unused portion, or compensation for the drop in value.

For major failures with goods, you can choose a refund or replacement. Where a failure is not major, you are entitled to have it fixed in a reasonable time.

Governing law and general

These terms are governed by Queensland law, and disputes are subject to the exclusive jurisdiction of Queensland courts. Both parties agree to try good-faith negotiation before starting proceedings.

We may update these terms and will post changes here with a new revision date. Continued use of our services after a change means you accept it. For ongoing engagements we will tell you about material changes directly.

If any provision is invalid, the rest continue in force. These terms, any signed SOW and our Privacy Policy form the entire agreement. Questions: hello@solve8.com.au.
